Terms of Service

1. Acceptance of Terms
By accessing or using the AskRN platform, website (askrn.co), or mobile application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User") and AskRN Inc. ("AskRN," "we," "us," or "our"). If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
AskRN provides an AI-powered clinical decision-support tool designed for nurses and healthcare professionals. The Service retrieves and summarizes text from hospital protocols and policies uploaded by authorized facility administrators. The Service is NOT medical advice, a diagnostic tool, or a substitute for professional clinical judgment. It is strictly an informational reference tool to assist healthcare professionals in locating facility-specific guidance.
3. Eligibility
You must be an authorized healthcare professional or facility administrator and at least 18 years of age to use the Service. By accessing the Service, you represent and warrant that you meet these eligibility requirements and have the authority to bind your facility if acting on its behalf.
4. User Accounts & Security
Users must create an account to access the Service. You agree to provide accurate and complete information and keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials, including using strong passwords. You agree not to share your account credentials and to notify us immediately of any unauthorized access or breach of security. AskRN Inc. is not liable for any losses caused by unauthorized use of your account.
5. Acceptable Use
You agree to use the Service only for lawful purposes in accordance with these Terms. You shall not: (a) reverse engineer, decompile, or disassemble the Service; (b) share or distribute your credentials; (c) use automated systems (e.g., bots, scrapers) to access the Service; (d) interfere with or disrupt the integrity or performance of the Service; or (e) input Protected Health Information (PHI) into queries unless covered by an active Business Associate Agreement (BAA) with AskRN Inc.
6. Intellectual Property
AskRN Inc. retains all right, title, and interest in and to the Service, including all software, design, text, graphics, and AI models, which are protected by intellectual property laws. Your facility retains all ownership rights to the protocols, policies, and documents it uploads to the platform. We claim no ownership over your uploaded documents.
7. AI-Generated Content Disclaimer
The Service utilizes artificial intelligence to retrieve and summarize information. AI systems are subject to limitations and may produce inaccurate, incomplete, or outdated information ("hallucinations"). You must independently verify any information generated by the Service against official facility protocols and guidelines. AskRN Inc. assumes no liability for any clinical decisions made based on the AI output or for any errors or omissions in the content.
8. HIPAA & Data Compliance
The Service is designed with HIPAA awareness. However, you are strictly prohibited from inputting unredacted PHI into the Service unless your facility has executed a BAA with AskRN Inc. You are solely responsible for ensuring that your use of the Service complies with HIPAA and all applicable data privacy laws.
9. Subscription & Payment
Access to certain features of the Service may require a paid subscription. All fees are non-refundable unless otherwise required by law. AskRN Inc. reserves the right to modify pricing upon providing reasonable advance notice. Continued use of the Service after a price change constitutes your agreement to the new pricing.
10. Termination
Either party may terminate this agreement at any time. AskRN Inc. reserves the right to suspend or terminate your access immediately, without notice, if you violate these Terms or pose a security risk. Upon termination, data will be handled in accordance with our data retention policy.
11. Disclaimers & Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ASKRN INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE SERVICE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASKRN INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ASKRN INC. DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless AskRN Inc., its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including unauthorized disclosure of PHI.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy and any applicable BAA, constitute the entire agreement between you and AskRN Inc. regarding the Service, superseding any prior agreements or communications.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and maintaining a notification on our platform. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
